1. Introduction
This Terms of Service agreement ("Terms") governs your access to and use of services operated by Conduit Hodlings Inc., doing business as Conduit, including Conduit.Market, Conduit.Coffee, and the Conduit Merchant Portal. These services may be accessed via web, mobile application, or decentralized protocol interface, including but not limited to Nostr.
By using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use our Services.
We are committed to respecting user privacy, supporting open protocols, and minimizing data collection. This agreement reflects those values while ensuring clarity about your rights and responsibilities when interacting with our infrastructure.
2. Scope of Services

Each of these services may have different payment, return, and data collection policies. Those distinctions are clarified throughout this document.
3. Eligibility
You must be at least 18 years of age to use our Services.
We make our services available globally, subject to local restrictions. We do not serve jurisdictions where trade is restricted by U.S. law, nor do we knowingly engage with users from regions with privacy or regulatory constraints that conflict with our infrastructure or compliance obligations. Conduit.Coffee currently ships only within the United States. The Merchant Portal and Conduit.Market are available to users internationally, as long as doing so is not prohibited under applicable law.
Merchants are responsible for understanding and complying with any relevant laws in their jurisdictions. We may deny or restrict access to any user or territory at our sole discretion.. Merchants using our platform tools are solely responsible for complying with local laws and regulations.

4. Nostr Identity and Account Model
Conduit supports pseudonymous participation through theNostr protocol. In many cases, your identity on our platform may be represented by a public key (npub) rather than a traditional account login. For users of the Merchant Portal, additional credentials (such as Lightning node info or invoice endpoints) may be required.
You are responsible for securing your keys, credentials, and wallet access. We do not hold your funds or manage your identities. Content associated with your npub may be publicly visible and permanently stored on external relays beyond our control.
Account creation, where applicable, does not imply data ownership or custody. We may display, index, or federate content tied to your npub for the purposes of marketplace functionality.
5. Payments and Barter Transactions
Conduit.Coffee
All transactions on Conduit.Coffee are conducted exclusively in Bitcoin (BTC) via the Lightning Network. We do not accept fiat currency, stablecoins, or credit cards. All prices are denominated in BTC and fixed at the moment of payment.
You agree that each purchase constitutes a barter transaction, where you exchange Bitcoin (a digital commodity) for physical goods. All sales are final once payment is confirmed on the Lightning Network. We are not responsible for any loss or fluctuation in Bitcoin value before or after settlement.
Conduit.Market
Conduit.Market facilitates merchant listings over the Nostr protocol. Conduit does not process payments on behalf of merchants. All transactions are peer-to-peer using the methods chosen by each merchant (e.g., Lightning invoice, stablecoin address).
We do not charge listing fees or platform coordination fees at checkout. At our discretion, we may invite users to make voluntary donations to support open-source infrastructure or nonprofits. Such donations are always optional and never required for completion of a transaction.
Merchant Portal
Some Merchant Portal features may require payment, including but not limited to onboarding support, infrastructure configuration (e.g., assistance with setting up Lightning or stablecoin payment systems), and optional promotional placement services. Additional paid features, if offered, will be disclosed at the time of use.
6. Returns and Refunds
Conduit.Coffee
We may offer refunds at our sole discretion. Refunds are issued via Lightning Network using the original BTC value at time of transaction. To request a refund, you must:
We reserve the right to deny refunds or limit them to partial amounts. All decisions are final.
Conduit.Market
Returns and refunds are handled solely between merchants and buyers. Conduit does not guarantee merchant refund policies. Buyers are advised to review merchant profiles and published policies before purchase.
Merchant Portal
Payments for Merchant Portal services are non-refundable unless otherwise stated in a separate agreement. Cancellation of any recurring services will take effect at the end of the current billing period.
7. Licensing, Software, and Open Source Use
Software Use
Some Conduit services may include downloadable software (e.g., merchant tools or optional relay interfaces). Unless otherwise stated, all software provided by Conduit is licensed, not sold, and may be governed by open-source licenses.
Users are granted a non-exclusive, non-transferable, revocable license to install and use such software for personal or commercial use in conjunction with the Services. Use of any downloadable software is at your own risk, and you accept all responsibility for securing, deploying, and maintaining it.
Server Code
Conduit’s server‑side software is offered under the GNU Affero General Public License v3.0 (AGPL v3). If you modify or run this code as a networked service, you must make the complete corresponding source available to your users (for example via a /source
endpoint) under the same license.
Client & Integration Components
All client libraries, SDKs, UI components and connector modules (including payment or monitoring adapters) are offered under the MIT License.
Source Repositories & Notices
You may view the relevant source repositories at: https://gitlab.com/conduit-btc. All AGPL‑licensed modules carry SPDX headers; MIT‑licensed modules carry the standard MIT header.
No Warranty / Liability Disclaimer
All open-source and downloadable software is provided “as-is.” We make no guarantees as to its performance, security, or fitness for any particular purpose. Conduit disclaims any liability arising from its use or misuse. You assume all responsibility for deployment, integration, and results obtained from its use.
8. Disclaimers and Limitations of Liability
Your use of Conduit's services is at your sole risk. All content, software, and infrastructure is provided "as is" and" as available," without warranties of any kind. Conduit disclaims all warranties, express or implied, including but not limited to merchant ability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted or error-free operation of our services. We do not warrant that defects will be corrected or that the infrastructure is free of harmful components. We are not responsible for any data loss, protocol changes, merchant behavior, or external relay downtime.
To the fullest extent permitted by law, Conduit's total cumulative liability for any claim related to the Services will not exceed the total amount you paid us, if any, in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or reputational harm.
9. Dispute Resolution and Arbitration
By using our Services, you agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services through binding arbitration administered in Delaware under the rules of the American Arbitration Association. You agree to waive your right to a jury trial or to participate in class actions.
Any claim must be brought within 1 year of the date it arises. Otherwise, it is permanently barred.
This section does not prevent either party from seeking equitable relief (e.g., injunction) or pursuing action for IP violations in court.
10. Copyright and Takedown Policy
We respect the intellectual property rights of others and expect our users and merchants to do the same. Content displayed on or indexed through Conduit.Market may be created by third parties and published to public Nostr relays. Conduit does not claim ownership over content published by users via their own npub.
If you believe content made available through our Services infringes your copyright or other IP rights, you may submit a takedown request to our designated agent below. We will respond in accordance with the Digital Millennium Copyright Act (DMCA) and similar frameworks, even where they may not strictly apply to decentralized content.

11. Privacy Policy
Your use of our Services is also governed by our Privacy Policy, which outlines how we collect, use, and safeguard your data across Conduit.Market, Conduit.Coffee, and the Merchant Portal. You can read the full Privacy Policy at https://conduit.market/privacy-policy.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any claim not subject to arbitration.
13. Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remainder of the Terms will remain in full force and effect.
14. Entire Agreement
These Terms constitute the entire agreement between you and Conduit Hodlings Inc regarding the Services. Any failure on our part to enforce a provision of these Terms does not constitute a waiver of our right to do so in the future.
